Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by AlphaEvals ("Company", "we", "us", or "our"), located in Fremont, California, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and AlphaEvals. If you do not agree to all the terms and conditions, you may not access our services.
2. Services
AlphaEvals provides AI evaluation consulting, technical advisory services, and related professional services. Our services include but are not limited to: evaluation framework design, human-in-the-loop workflow development, LLM red-teaming, safety audits, and technical consulting.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for service delivery
- Ensuring they have the right to share any data or materials provided to us
- Coordinating with our team as reasonably required for project success
- Reviewing deliverables and providing timely feedback
4. Intellectual Property
- All deliverables remain the intellectual property of AlphaEvals until full payment is received
- Upon full payment, clients receive a license to use deliverables for their internal business purposes
- Company methodologies, frameworks, and proprietary tools remain the exclusive property of AlphaEvals
- Client data and materials provided remain the property of the client
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of engagement. This obligation survives termination of services and remains in effect for 3 years.
6. Payment Terms
- All fees are due according to the agreed-upon schedule
- Late payments may incur interest at 1.5% per month
- Expenses incurred on behalf of the client will be invoiced separately
- All payments are non-refundable unless otherwise specified in the engagement letter
7. Limitation of Liability
To the maximum extent permitted by law, AlphaEvals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you for services in the twelve months preceding the claim.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Fremont, California.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
